Zoey Wallet is a technology platform that provides stablecoin-native infrastructure for accessing global equity markets. Zoey Wallet is not itself a broker-dealer, bank or custodian; brokerage services described elsewhere in these Terms and in the Important Disclosures section are provided by a third-party regulated broker-dealer. The full legal name, registration and licensing details of Zoey Wallet's operating entity and its brokerage partner will be published here following legal review, and this section will be updated accordingly.

You must be at least the age of majority in your place of residence and have the legal capacity to enter into a binding agreement to use Zoey Wallet. Use of the platform may also be subject to eligibility and verification requirements imposed by our third-party brokerage partner, including identity verification and any applicable residency or jurisdictional restrictions communicated to you during onboarding.

To access investment features, you must register for an account and provide accurate, current and complete information as prompted. You are responsible for keeping your account information up to date. Zoey Wallet and its brokerage partner may decline to open, or may suspend, an account where required information cannot be verified.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect any unauthorized access to or use of your account. We recommend using a strong, unique password and enabling any additional account-security features made available to you.

You agree to use Zoey Wallet only for its intended purpose and in compliance with these Terms and all applicable laws. You will not attempt to interfere with the proper functioning of the platform, circumvent any security measures, or use the platform in a manner that could damage, disable or impair it for other users.

Zoey Wallet provides technology that enables access to global equity markets; investment transactions themselves are executed by our third-party regulated brokerage partner. Access to specific markets, securities or order types may be limited by that partner, by applicable regulation, or by exchange trading hours and rules, and is not guaranteed at any particular time.

Where offered, fractional share investing allows you to invest a specific amount rather than purchasing a whole share. Fractional shares may carry restrictions on transfer, and on how or whether they can be withdrawn to an external brokerage account, that do not apply to whole shares. Additional detail on these restrictions is provided in the Important Disclosures section.

Zoey Wallet allows eligible accounts to be funded using supported stablecoins, including USDT and USDC. Stablecoin deposits are converted as part of the funding process; conversion is subject to prevailing rates and processing terms disclosed to you at the time of the transaction, and carries the risks described in the Important Disclosures section, including peg deviation risk.

Use of Zoey Wallet and the investment services made available through it may involve fees, including fees charged by our third-party brokerage partner and network or conversion costs associated with stablecoin funding. A complete, itemized fee schedule will be presented to you before you incur any charge, and will also be published here as part of ongoing legal review.

Investment and custody services accessible through Zoey Wallet are provided by a third-party, independently regulated broker-dealer, not by Zoey Wallet itself. Your use of those services may also be subject to that partner's own terms and disclosures, which will be made available to you as part of account opening.

Market data, pricing, charts and related information made available on Zoey Wallet are provided for informational purposes and may be sourced from third-party providers. Market data may be delayed, may not reflect real-time pricing, and is provided without warranty of accuracy, completeness or timeliness.

The Zoey Wallet name, logo, website and application, and all associated content, design and software, are the property of Zoey Wallet or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute or create derivative works from any part of the platform without prior written permission.

You may not use Zoey Wallet for any unlawful purpose, to violate any applicable regulation, to engage in market manipulation or fraud, to infringe the rights of others, or to attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems.

We may suspend or terminate your access to Zoey Wallet, in whole or in part, where we reasonably believe these Terms have been violated, where required by our brokerage partner or by applicable law, or to protect the platform, other users, or Zoey Wallet itself. Where practical, we will provide notice of any such action.

Zoey Wallet is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, regarding the platform, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing on the platform constitutes a guarantee of investment performance.

To the fullest extent permitted by applicable law, Zoey Wallet and its officers, employees and affiliates will not be liable for any indirect, incidental, special or consequential damages arising from your use of, or inability to use, the platform, including losses relating to investment performance, market movements, or stablecoin conversion.

We may update these Terms from time to time to reflect changes to the platform, our services, or applicable law. Where changes are material, we will make reasonable efforts to notify you before they take effect. Continued use of Zoey Wallet after changes take effect constitutes acceptance of the updated Terms.

The governing law and jurisdiction applicable to these Terms will be specified here following legal review, and will be selected to reflect the jurisdictions in which Zoey Wallet and its regulated brokerage partner actually operate and are licensed.
